Corporate Finance & Capital Markets
Financing, capital measures and investor relations - advised from the perspective of a former CFO of a listed company.
What this is about.
Financing questions are rarely purely technical. They touch ownership structure, control, flexibility and the market's trust. At decisive moments - before a capital increase, a refinancing, a rating dialogue or a transaction - what counts is less the perfect slide than the honest assessment of what is sustainable.
That is where I work. Not as a transaction advisor replacing a bank or a lawyer, but as someone who guides boards and owners through the critical turning points - before and while the processes run.
What I specifically bring.
- Development of sound financing structures - with an eye on covenants, liquidity, investor expectations and the company's strategic flexibility.
- Preparation and structuring support for capital measures: equity issuances, bond and promissory-note placements, hybrid structures, buy-backs, and dividend / distribution policy.
- Dialogue with investors, banks and agencies: IR targets, equity story, capital-market positioning, rating process preparation and analyst engagement.
- A structuring sparring role for the CFO, management board or supervisory board in sensitive phases - clearly distinct from existing mandates with banks, auditors and lawyers.
Who this is for.
- Mid-sized companies preparing their step toward the capital market or professionalising their financing.
- Listed companies in phases where a second, experienced voice is needed - independent of house investment bank and audit mandate.
- Private equity portfolios and owners facing strategic financing decisions who want an independent assessment from an executive-board perspective.
My approach.
Discreet, direct and at eye level. My contribution is not volume but judgement - grounded in personal responsibility as CFO and in experience through cycles where financing truly becomes a test.
